Terms of Service

These Terms of Service ("Terms") govern your access to and use of cmdv (the "App"), a desktop application for storing and organizing clipboard snippets, and the related website at commandv.app (the "Site"), provided by cmdv ("we," "us," or "our"). By downloading, installing, or using the App, or by purchasing a subscription, you agree to these Terms. If you do not agree, do not use the App or the Site.

1. The Service

cmdv is a desktop application for macOS and Windows that allows users to save, organize, and quickly retrieve formatted text snippets via a local folder structure and a global keyboard shortcut. Use of the App requires an active subscription and a valid license key, except during the free trial period described below.

2. Subscriptions and Billing

2.1 Plans

cmdv is offered on a subscription basis, billed weekly, monthly, or yearly depending on the plan you select at checkout.

2.2 Free Trial

New subscriptions include a 7-day free trial. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and your payment method will be charged according to the plan you selected.

2.3 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. All payments are processed by Lemon Squeezy, our payment processor and merchant of record. Lemon Squeezy handles billing, taxes, and payment data; we do not store your payment card information.

2.4 Price Changes

We may change subscription prices from time to time. Any price change will apply to billing periods after the change takes effect, and we will provide reasonable notice before a price change applies to your subscription.

2.5 Cancellation

You may cancel your subscription at any time through the Customer Portal (accessible via the billing management link provided at checkout or in your receipt email). Cancellation takes effect at the end of your current billing period; you will retain access until that date, and you will not be charged again.

2.6 Refunds

Except where required by applicable law, payments are non-refundable, including for partial billing periods. If you believe you were charged in error, contact us at jonahhollowaybutts@gmail.com and we will review your request.

3. License Key and Device Activation

3.1 License Grant

Subject to your compliance with these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable license to install and use the App on a single device at a time.

3.2 Activation Limit

Each license key may be activated on one (1) device at a time. To use the App on a different device, you must deactivate the license on the original device through the App's settings or the Customer Portal before activating it elsewhere.

3.3 Account Security

You are responsible for keeping your license key confidential. You are responsible for all activity that occurs using your license key, whether or not authorized by you.

4. Acceptable Use

You agree not to:

• Share, sell, sublicense, or distribute your license key to any other person;
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law;
• Modify, patch, or tamper with the App in order to bypass license validation or access paid features without a valid subscription;
• Use the App for any unlawful purpose or in violation of any applicable law or regulation;
• Use the App in a manner that could disable, overburden, or impair our systems or Lemon Squeezy's systems.

We reserve the right to suspend or terminate access for any account found to violate this section.

5. Intellectual Property

The App, the Site, and all related content, features, branding, and functionality are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding except as necessary to use the App as intended.

Any snippets, folders, or other content you create and store using the App remain your property. We do not access, transmit, or store the content of your snippets on any server; all snippet data is stored locally on your device.

6. Third-Party Services

The App and Site rely on third-party services, including:

• Lemon Squeezy — for payment processing, subscription management, and license key validation. Use of these services is subject to Lemon Squeezy's own terms and privacy policy.
• Umami — for privacy-focused, cookieless website analytics on the Site.

We are not responsible for the availability, performance, or practices of these third-party services.

7. Disclaimers

THE APP AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA STORED USING THE APP WILL NOT BE LOST OR CORRUPTED.

You are solely responsible for backing up any content you store using the App.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP OR SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

9. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms. You may stop using the App and cancel your subscription at any time as described in Section 2.5. Upon termination, your right to use the App ends, but any snippet data already stored locally on your device remains on your device and is not affected.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting an update on the Site or notifying you within the App). Continued use of the App or Site after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles, except to the extent applicable law provides otherwise for consumer protection purposes.
